Corporate By-Laws
as
of August 28, 2004
I.
General Membership:
Members will be divided into two rosters, active and reserve.
Active Duty members are approved by the Board of Directors
and must have attended five each, 21st Mi. Inf. drill sessions
(or participate in 3 events as a civilian) in the previous
year. Dues will be set by the membership at each annual meeting.
Meeting these requirements annually gives the Active Duty
members the right to vote on all general membership decisions.
The Reserve Duty member will not have the right to vote, will
not pay dues, but must still be approved by the Board of Directors.
The Reserve Roster is intended for new recruits and non-active
members. Removal from membership will require a general membership
meeting and majority vote. Other membership restrictions can
be levied, as needed, by the Board of Directors at any time.
II.
Board of Directors:
There will be three permanent Corporate Officers. The President,
Secretary and Treasurer will be elected annually from the
Active Duty Roster and all records generated during their
term will become corporate property and be passed on to their
successors. There will be one board member at large, the Military
Commander, who will also be elected from and by the active
duty membership. The Military Commander’s Corporate
responsibilities will be restricted to meetings as a full
board member only in the absence of a previously notified
Corporate Officer. There will be a Corporate Board meeting
held at every 21st Mi “MAX EFFORT” event or drill
session.
III.
Quorum:
1. Corporate by-law changes will require a 2/3 approval of
the Active Duty membership.
2. Corporate Officer election will require a majority approval
of the Active Duty members present at the annual meeting.
3. Corporate Board decisions will require a majority of the
three members.
IV.
Military Rank Structure:
The rank structure will be determined by the Board of Directors
on an event by event basis. The Military Commander will not
exceed the rank of Captain.
V.
Event Registration:
Event registration is the responsibility of the Military Commander.
Active Duty members will be selected prior to each event by
the Military Commander to act as Non-Commissioned Officers
as required by the Board of Directors. The volunteers selected
will be trained by the Military Commander or Delegate and
perform the duties of that rank in a military fashion.
VI.
Safety:
Physical safety of the membership and general public at events
is the responsibility of the Corporate Officers. Events officially
attended as the 21st Mi. must be sanctioned by the Board.
The Military Commander is appointed as the Board’s Delegate
with full authority, in the field, to determine safety performance
requirements and to enforce the same, in conjunction with
the host unit or sponsor, to the extent of expulsion from
the site.
VII.
Fiscal Year:
The fiscal year will begin February 1st. The annual meeting
will precede this date to permit the installation of the new
officers at this time.
